These Terms of Service govern your use of jameshillman.co.uk (the "Site") and any consultancy services provided by James Hillman ("we", "us", "our"). By using the Site or engaging our services, you agree to these Terms.

1. ABOUT US

James Hillman is a London-based fashion consultancy operating as a UK limited company, providing fashion design, development, sourcing and production consultancy services to brands.

2. USE OF THE SITE

You may use the Site for lawful purposes only. You agree not to:

- Use the Site in any way that breaches applicable laws or regulations

- Attempt to gain unauthorised access to the Site or its underlying infrastructure

- Use the Site to send unsolicited communications

- Reproduce, copy, distribute or otherwise commercially exploit any content from the Site without our prior written consent

3. INTELLECTUAL PROPERTY

All content on the Site — including text, images, photography, branding, case studies and videos — is owned by James Hillman or licensed to us by clients and partners. You may not reproduce, modify or distribute this content without our written permission.

Case study imagery is published with the permission of the relevant brand. If you wish to use any image, please contact us first.

4. CONSULTANCY SERVICES

When you engage James Hillman for consultancy services (Studio Session, Project Work, or Full Service):

- A separate written engagement letter, statement of work or invoice will define the specific scope, deliverables, timeline and fees for that engagement

- Fees quoted on the Site are starting prices and may vary by project scope

- All fees are exclusive of VAT (charged where applicable)

- Payment terms are typically 50% on commencement and 50% on delivery, unless agreed otherwise in writing

5. STUDIO SESSION SPECIFICALLY

The Studio Session is a 90-minute working session priced at £750 ex VAT. By booking:

- You agree to pay the fee in full at the time of booking

- Sessions cancelled with less than 48 hours notice are non-refundable

- Sessions cancelled with 48+ hours notice can be rescheduled at no charge

- The written Direction Document is delivered within five working days of the session

6. CONFIDENTIALITY

We treat all client information as strictly confidential. We will not disclose client details to third parties except where required by law, necessary to deliver the engaged services (e.g. communicating with suppliers and factories on your behalf), or where you have given us explicit written permission.

We expect the same in return — proprietary information about our methods, supplier relationships, and process is shared with you in confidence and should not be shared with competitors.

7. LIMITATION OF LIABILITY

We provide consultancy services with reasonable care and skill, drawing on twenty years of industry experience. However, our liability for any single engagement is limited to the fees paid for that engagement. We are not liable for indirect, consequential or incidental losses, loss of profit or business opportunity, or decisions you make based on our advice (final decisions remain yours).

This does not limit liability for death or personal injury caused by negligence, or for fraud.

8. THIRD-PARTY SUPPLIERS

Where we recommend or coordinate third-party suppliers (mills, factories, photographers), the relationship between you and those suppliers is direct. We are not responsible for the quality, delivery or pricing of third-party deliverables, though we will use reasonable judgement when making recommendations.

9. TERMINATION

Either party may terminate an active engagement with reasonable notice (typically 30 days), in writing. Fees for work already completed up to the termination date remain payable.

10. GOVERNING LAW

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. CHANGES TO THESE TERMS

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Site or our services after changes constitutes acceptance.
